Terms of service

1. What we do
Compliance Calendar prepares and submits your federal or provincial corporate annual return to Corporations Canada (or the Ontario Business Registry, as applicable) on your behalf, using the information and credentials you provide. We are an independent filing-assistance service. We are not a law firm, accounting firm, or paralegal service, and nothing in these terms or in our communications constitutes legal or accounting advice. We are not affiliated with the Government of Canada, Corporations Canada, or the Ontario Business Registry.
2. Your authorization
By placing an order and submitting the intake form, you confirm that:
- you are authorized to act on behalf of the corporation named in your order;
- the information you provide is accurate and complete to the best of your knowledge; and
- you authorize Compliance Calendar to prepare and file the specified return on the corporation's behalf.
We act on the information you confirm. You remain solely responsible for the accuracy of the information submitted to us. If we receive inaccurate information from you and that causes a filing error, we will correct it at no additional charge only if the underlying information was provided incorrectly through no fault of the customer's intent (see section 6 below).
3. Service timeline
We target filing on the next business day after we receive both full payment and all information necessary to file. Our public commitment is 24–48 business hours from the point at which your submission is complete. If additional information is needed, we will contact you promptly; the clock pauses until you respond.
4. Pricing and fees
Our service fee and any applicable government filing fee are disclosed separately on the product page and at checkout, in Canadian dollars, before any payment is taken. There are no hidden charges. Government filing fees (where applicable) are paid by us on your behalf and passed through at cost.
5. Refund policy
You may request a full refund at any time before we file your return. Once we have filed with Corporations Canada (or the applicable registry), the work has been performed and fees are non-refundable, except as described in section 6. Full details: /refunds.
6. Our error correction commitment
If a filing error is caused by a mistake on our part (e.g., we transposed a number we were given correctly), we will take all steps necessary to correct it at no cost to you. Government fees incurred on a correction filing are also covered by us in that circumstance.
7. Limitation of liability
Our total liability for any claim arising from or related to the service we provided is limited to the fees you paid us for the specific filing giving rise to the claim. We are not liable for consequential damages, lost profits, loss of corporate standing, third-party costs, or any government fees that cannot be recovered once accepted by the registry. Nothing in this section limits liability for gross negligence or intentional misconduct.
8. Electronic delivery of contract
By placing an order you consent to receiving a copy of these terms and any required disclosures by email. We will email you a copy of this agreement within 15 days of your order, at the email address you provide at intake.
9. Not legal advice
The service we provide is administrative filing assistance only. If you have questions about whether a particular filing is required for your corporation, or about the legal consequences of any corporate action, please consult a qualified lawyer or accountant.
10. Governing law
These terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. Any dispute arising out of or relating to these terms or the service shall be subject to the exclusive jurisdiction of the courts of Ontario.
11. Changes to these terms
We may update these terms from time to time. The version in effect when you place your order is the one that governs your order. We will post the updated date at the top of this page when changes are made.
